Some items have different names (e.g., Revenue is often called Turnover and Net Income is often called Profit), but that's about it. Balance Sheet: There are more differences on the Balance Sheet - items are often arranged in a different order (sometimes Long-Term Assets are listed first, then Current Assets, then Equity, then Long-Term Liabilities and Current Liabilities at the end). The Balance Sheet itself is usually called the "Statement of Financial Position." Also, items within the Equity section often have different names: Common Stock is called "Share Capital" or "Issued Capital." Additional Paid-In Capital is often called the "Share Premium." Retained Earnings and Treasury Stock tend to have similar names. IFRS-based companies also have many "Reserve" categories for items such as FX translation differences and unrealized gains and losses. For US-based companies, these items show up within Accumulated Other Comprehensive Income (AOIC) rather than being split out into separate "Reserve" categories. But the FUNCTIONALITY of the Balance Sheet is still very similar (items still flow in and change the same way), even if items have different names or are grouped differently. Cash Flow Statement There are more differences on the Cash Flow Statement, because most US-based companies use the INDIRECT method and most international companies use the DIRECT method. The Indirect Method starts with Net Income, makes non-cash adjustments, and lists the changes in Working Capital in the Cash Flow from Operations section. The Direct Method simply lists the cash received from customers and cash paid to suppliers and employees, along with income taxes and interest and other expenses, and so you don't see the full details behind the non-cash adjustments and working capital spending. When this happens, it is much, much harder to link the financial statements because changes in items such as Accounts Receivable and Accounts Payable won't flow into anything on the Cash Flow Statement. So we recommend ADJUSTING the financial statements as follows: First, find a reconciliation between this Cash Flow Statement and the company's operating income and/or net income. Then, make the Cash Flow Statement start with Net Income instead, as it normally does, and include all the line items from this reconciliation (non-cash adjustments, Working Capital changes, etc.). And if there are still remaining differences between items such as income taxes and interest expense on the Income Statement vs. Cash Flow Statement, make adjusting entries on the CFS that indicate the true cash amount that a company paid for those. Notwithstanding all that the company still reported an increase in revenue. Separate from the usual statements by the Chairman and CEO, which you’ll find in most annual reports, is an interview with Group President and Chief Executive Tang Kin Fei on page 26. In it, you’ll find additional information about what’s happening at the company. Let’s take a look at the overview first, and the earnings breakdown between utilities, marine and their development business. Utilities still makes up a substantial part of the profit but it’s actually the marine business which had more revenue in 2014. So even though the marine business generated less profit, it actually generated revenue of almost S$6 bln compared to less than S$5 bln for the utilities business. The marine business is 61% owned by SembCorp Industries and has operations in Singapore, Brazil, India, Indonesia, the UK and China. The utilities business consists of energy, water and on-site logistics, and operates in 14 countries. The development business is into master planning, land preparation, such as turning raw land into developed land, and revenue was S$7 mln, with profit boosted by land sales. Let’s take in the group overview. We continue to see a lot of investment by SembCorp Industries in its various business units. Capital expenditure was up 12% and so we see the cash position go from a positive $350 mln last year to a $3 bln deficit this time around. Free cash flow has also turned negative, going from almost S$1.5 bln last year to a small S$29 mln deficit this year. Total revenue was higher but profit from operations (PFO) declined this year compared to 2013, and the net profit number was down 2% even though revenue was up 1%. It seems like the first and second quarters were slower than last year but picked up at quite a lot of ground but it still wasn’t enough to increase profit for the year overall. Return on equity was down 11% and because of the fall in the share price of the company over the year, the total shareholder returns were down by 15%. SembCorp paid an interim dividend for the first time based on feedback from their investors. They paid a five cents per share maiden interim dividend in September last year, and added an $0.11 per share dividend and that will bring the total dividend to $0.16 for 2014. The payout ratio is at about 36%. Page 68 shows more than half of their profit from operations comes from Singapore, and it’s the energy business which makes up more than half of their profit number. And that this is significant because the Singapore energy business has actually been under pressure. They’re getting better at generating more electricity using less gas, and that has resulted in an oversupply of gas. The margins are expected to improve but it will take some time for power demand to take up the slack and therefore for margins to improve. The governance and sustainability report is increasingly important for companies listed on the Singapore Exchange. The Exchange itself has placed a lot of emphasis on these reports being included. For example, the amount of money that the directors are paid. The Chairman gets an all-in fee of S$750,000. The other Directors get a retainer of $75,000 and then they get paid per meeting. All that is broken down in the governance and sustainability report. In fact the directors going to the Annual General Meeting will be getting S$2,500 just for showing up on Tuesday, 21 April. There is also a reference to what SembCorp Industries does in terms of preventing fraud and bribery. On page 136, they say they use forensic data analytics as a tool to uncover red flags and identify any gaps in internal controls. Notwithstanding those they paid $214,000 worth of fines in Chile and China and they are looking into these incidents to ensure non-recurrence. Page 330 shows the directors and the executive’s remuneration. And this is significant because SembCorp Industries breaks it down to the last dollar for all of the directors as well as the top executives.
